By accessing or using the Psyche Insights platform ("Service"), you ("Clinic" or "User") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a clinic or organization, you represent that you have the authority to bind that entity. If you do not agree to these terms, do not use the Service.
Psyche Insights provides a cloud-based clinical management platform designed for ketamine and psychedelic-assisted therapy clinics. The Service includes patient management, scheduling, clinical documentation, secure messaging, billing support, and outcomes tracking tools. The Service is intended for licensed healthcare professionals and clinical organizations only.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. Each seat or user account is for a single named individual; account sharing is prohibited. You must ensure that all users of your account comply with these Terms.
Access to the Service is provided on a subscription basis. Fees are billed in advance on a monthly or annual cycle as selected at signup. All fees are non-refundable except as required by law or as expressly stated in a separate agreement. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of access.
For clinics operating in the United States, Psyche Insights acts as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). A Business Associate Agreement (BAA) is required before processing any Protected Health Information (PHI) through the Service. By using the Service with PHI, you represent that a valid BAA is in place between your organization and Psyche Insights. You are responsible for ensuring your use of the Service complies with all applicable federal and state privacy laws.
For clinics operating in Israel, Psyche Insights complies with the Privacy Protection Law 5741-1981 and its regulations, including the Privacy Protection Regulations (Data Security) 5777-2017. Patient data stored on behalf of Israeli clinics is processed in accordance with the requirements of the Israeli Privacy Protection Authority (Reshut HaPratiyut). Clinics are responsible for obtaining appropriate patient consent under applicable Israeli law before processing sensitive health information through the Service.
You agree not to use the Service to: (a) process data for purposes other than legitimate clinical care; (b) share access credentials with unauthorized individuals; (c) upload malicious code or interfere with platform security; (d) use the Service in violation of any applicable law or regulation; (e) attempt to access data belonging to other clinics or patients. We reserve the right to suspend access for any violation of this section.
You retain full ownership of all clinical data, patient records, and content you upload to the Service. Psyche Insights does not claim ownership of your data. You grant Psyche Insights a limited license to process your data solely to provide the Service. We will not sell, share, or use your data for any purpose other than operating and improving the Service as described in our Privacy Policy.
The Psyche Insights platform, including its software, design, features, and documentation, is the exclusive property of Psyche Insights Ltd. and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You may not copy, modify, reverse engineer, or create derivative works from any part of the platform.
The Service is provided "as is" and "as available." Psyche Insights does not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. The Service is a clinical management tool and does not constitute medical advice. All clinical decisions remain the sole responsibility of the licensed professionals using the platform. Psyche Insights disclaims all liability for clinical outcomes.
To the maximum extent permitted by applicable law, Psyche Insights shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or patient records. Our total aggregate liability for any claims arising from your use of the Service shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim.
Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your account immediately for material breach, non-payment, or conduct that poses a risk to other users or the platform. Upon termination, you will have 30 days to export your data before it is deleted from our systems, except where retention is required by applicable law.
For clinics based in Israel, these Terms are governed by the laws of the State of Israel, and disputes shall be subject to the exclusive jurisdiction of the courts of Tel Aviv. For clinics based in the United States, these Terms are governed by the laws of the State of Delaware, and disputes shall be resolved through binding arbitration under the AAA rules. Nothing in this section limits either party's right to seek injunctive relief.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you may terminate your account before the effective date.
